Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ViralEngine’s website, platform, AI agents, automations, and optional integrations — including WhatsApp Business messaging as one automation among others. By accessing or using ViralEngine, you agree to these Terms.

1. Who we are

ViralEngine (“ViralEngine”, “we”, “us”, or “our”) operates the ViralEngine website and platform at https://viralengine.in. For questions about these Terms, contact [email protected].

Our Privacy Policy explains how we collect and use personal information and is incorporated into these Terms by reference.

2. The service

ViralEngine is an AI operations and automation platform. We provide tools, agents, and workflows that help businesses automate operational work across the systems they already use.

Features may include AI agents, workflow automation, analytics, and optional integrations with third-party tools such as email, Slack, Google Workspace, Notion, Airtable, CRMs, reporting systems, and messaging platforms. WhatsApp Business messaging is one optional automation among these integrations and is not required to use other parts of the platform.

We may add, change, suspend, or discontinue features over time. We will try to give reasonable notice of material changes where practical.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use ViralEngine. If you use ViralEngine on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.

You are responsible for maintaining the confidentiality of your account credentials, for activity under your account, and for ensuring teammates you invite comply with these Terms. Notify us promptly at [email protected] if you suspect unauthorized access.

4. Customer content and your responsibilities

“Customer Content” means data, files, messages, prompts, contacts, configurations, and other materials you or your end users submit to, or sync into, ViralEngine — including content from connected tools and, if enabled, WhatsApp conversations.

You retain ownership of Customer Content. You grant ViralEngine a limited license to host, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, and improve the service you request (including running AI agents and automations you enable).

You represent and warrant that:

  • You have all rights and consents needed to submit Customer Content and to authorize our processing of it
  • Your use of ViralEngine and Customer Content complies with applicable law
  • Customer Content does not infringe others’ rights or include prohibited material

5. AI agents and automation

ViralEngine includes AI-powered agents and automations. Outputs may be incomplete, incorrect, or inappropriate for your use case. You are responsible for reviewing agent outputs before relying on them for business, legal, financial, or customer-facing decisions.

Where human-in-the-loop controls are available, you should configure them appropriately for your risk tolerance. ViralEngine does not replace your professional judgment or legal obligations to customers and partners.

6. Third-party integrations

Optional integrations connect ViralEngine to third-party services you authorize. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services, outages, policy changes, or how those providers process data once shared with them at your direction.

You are responsible for configuring integrations correctly, managing access permissions, and disconnecting integrations you no longer want to use.

7. WhatsApp Business and Meta Platform (optional)

If you enable WhatsApp Business automation, you connect your WhatsApp Business account through Meta’s WhatsApp Business Platform. In that case:

  • You must comply with Meta’s and WhatsApp’s terms, policies, and messaging rules (including opt-in consent, customer care windows, template messaging, and prohibited content)
  • You are responsible for obtaining any required consents from end customers before messaging them
  • You must not use the integration for spam, unlawful content, or any purpose Meta or WhatsApp prohibits
  • Meta / WhatsApp may suspend or limit messaging independently of ViralEngine

ViralEngine provides software to help you manage WhatsApp communication as one automation. We do not control Meta’s platform availability, delivery rates, or policy enforcement.

8. Acceptable use

You agree not to:

  • Use the service for unlawful, harmful, deceptive, or abusive purposes
  • Attempt to gain unauthorized access to the service, other accounts, or related systems
  • Interfere with or disrupt the service, including through malware, scraping at abusive rates, or reverse engineering except where permitted by law
  • Misrepresent your identity or affiliation, or impersonate others
  • Use the service to send unsolicited bulk messages in violation of applicable law or third-party platform rules
  • Upload or transmit content that is illegal, infringing, or that you do not have rights to process
  • Resell, sublicense, or provide the service to third parties except as expressly allowed in a written agreement with us

We may investigate violations and suspend or terminate access when we reasonably believe these Terms or applicable law have been violated.

9. Fees and payment

Some features may be offered free of charge; others may require a paid subscription or usage-based fees. Pricing, billing cycles, and included usage will be described at purchase or in an order form. Fees are generally non-refundable except where required by law or expressly stated otherwise.

You are responsible for applicable taxes. We may change pricing with notice for future billing periods. Failure to pay may result in suspension or termination of paid features.

10. Intellectual property

ViralEngine and its software, branding, documentation, and related materials are owned by ViralEngine or its licensors. Except for the limited rights expressly granted to you to use the service, no intellectual property rights are transferred.

Feedback you provide may be used by us to improve the service without obligation to you.

11. Confidentiality

Each party may receive non-public information from the other that is marked or reasonably understood to be confidential. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRALENGINE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO VIRALENGINE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU HAVE NOT PAID FEES, ONE HUNDRED U.S. DOLLARS / EQUIVALENT LOCAL CURRENCY).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You will defend and indemnify ViralEngine and its personnel against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the service, your integrations (including WhatsApp / Meta usage), or your violation of these Terms or applicable law.

15. Suspension and termination

You may stop using ViralEngine at any time and may request account closure by contacting [email protected]. We may suspend or terminate access if you breach these Terms, if required by law or a platform partner (including Meta), or if continuing to provide the service creates risk to us or others.

Upon termination, your right to use the service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnification) will survive termination. Data deletion is handled as described in our Privacy Policy.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, when appropriate, provide additional notice. Continued use of ViralEngine after an update means you accept the revised Terms. If you do not agree, stop using the service.

17. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in India will have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer protections that apply in your location.

18. General

These Terms are the entire agreement between you and ViralEngine regarding the service and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
